Conditions for attending the April 23/24, 2020 GSM in COVID-19 pandemic environment

Considering the provisions of the Regulation no. 5/2020 regarding measures to be taken for the general shareholders meetings of the companies during the establishment of the state of emergency on the Romanian territory generated by COVID-19, SAI MUNTENIA INVEST SA, administrator of SIF MUNTENIA SA, recommends to its shareholders to use mainly the electronic / remote means of interaction for the S.G.O.M./S.G.E.M. convened for April 23/24, 2020, as follows:

• accessing the materials related to the G.O.M./S.G.E.M. in electronic format, avoiding, as far as possible, their transmission in physical copy, by post, courier services or personally picking up, from the Company’s headquarters;
• submission by the shareholders of the special power of attorney or, as case may be, the general power of attorney forms by e-mail, to the address to the address electronic@sifmuntenia.ro, avoiding, as far as possible, their transmission in physical copy, by post, courier services or personally registration at the Company’s headquarters;
• voting by correspondence and, preferably, by e-mail, using the extended electronic signature incorporated, according to Law no. 455/2001 regarding the electronic signature, to the address electronic@sifmuntenia.ro, and lacking the extended electronic signature incorporated, transmission in physical copy, by post, courier services or personally registration at the company headquarters.

The voting procedure by correspondence, as well as the special power of attorney and the correspondence ballots for the interaction for the S.G.O.M./S.G.E.M. convened for April 23/24, 2020 can be found on the Company’s website lo.test, section “Investor’s Section – CORPORATE EVENTS ”SIF MUNTENIA SGOM/SGEM as of 23/24.04.2020”.

We remind our shareholders that the above mention forms shall be submitted no later than 21.04.2020, 9.30 a.m. for S.G.O.M., and respectively 11.30 a.m. for S.G.O.M.

Furthermore, considering the provisions of the Regulation no. 5/2020, SIF MUNTENIA SA, by its administrator SAI MUNTENIA INVEST SA, informs the shareholders:

1. the posibility that SIF MUNTENIA SA will adopt the current restrictions in force at the date of the SGOM/SGEM regarding the limitation of the number of participants to events held in confined spaces only according the imposed measures decided by the authorities;
2. the explicit warning regarding that participating in public events / meetings in closed spaces, in the limits imposed by the authorities at that time, exposes the participants to a possible contamination with the SARS-CoV-2 coronavirus, and the Company and / or its management cannot be held responsible for such risk.
